PCO Suite Terms of Service

Version of 17 October 2026 · effective from 17 October 2026

These terms govern the use of PCO Suite, the management software for pest control companies provided by ComputerLab di Spoltore Fabio, Via Floraspe Renzetti 31, 66034 Lanciano (CH), Italy, VAT no. IT02841650696 ("ComputerLab"). By registering a company or activating a subscription, the person acting on behalf of the company ("Customer") confirms that they are authorised to bind it, accepts these terms and the Data Processing Agreement, and confirms that they have read the Privacy Notice.

1. Definitions and subject matter

Under these terms ComputerLab grants the Customer the use of the Service for the duration of the trial and of the subscription, on the conditions set out here.

2. Who may use the Service

The Service is intended exclusively for businesses and professionals using it for their own business activity. It is not offered to consumers: whoever registers declares that they are acting in the course of their business or profession, and consumer protection rules (in Italy, the Consumer Code) therefore do not apply. The Customer provides a valid VAT number or tax identification number; ComputerLab may verify it, including on the European VIES register.

3. Account and credentials

The Customer creates the Office administrator account and, from there, the credentials of its technicians and end clients. The Customer is responsible for keeping the credentials safe, for the activities carried out with them and for choosing the people to whom it assigns them; it must notify ComputerLab immediately if it suspects unauthorised use. Passwords are stored only in hashed form and ComputerLab cannot read them.

4. The Service

4.1. The Service also works without a connection: data entered stays on the device and syncs with the Cloud as soon as the connection is back. Some functions (first login to an account, password change, buying and managing the licence, file uploads, legal documents) require a connection.

4.2. ComputerLab may update the Service, add functions and change existing ones to improve it, for security reasons or to comply with the law. Changes that significantly reduce the functions of the Plan purchased are announced at least 30 days in advance, except for security or legal reasons.

4.3. The functions that generate documents (PDF service reports, sheets, attendance summaries, invoices) are tools at the Customer's service: the content of the documents depends on the data entered and the Customer remains responsible for checking it before delivering or using it.

4.4. The "Security and compliance" pages of the Service describe the technical measures in place. The ISO/IEC 27001 certifications mentioned belong to the infrastructure providers named: neither PCO Suite nor the Customer is ISO/IEC 27001 certified merely by using the Service.

5. Free trial, purchase, term and cancellation

5.1. Free trial. Registration gives the right to a free trial of 45 calendar days from the registration date, with all modules and a file storage limit stated at registration (currently 1 GB). The trial is for setting up the company and loading data; the Customer is invited to report any issues with the "Report a problem" function. Only one trial per VAT number is allowed.

5.2. End of the trial. When the trial expires the Service switches to read-only mode (Article 6): data remains viewable but cannot be entered or changed until the Customer buys the licence. The duration is counted on ComputerLab's server clock; changing the date on devices does not extend it.

5.3. Purchase through Paddle. The licence is bought from the "Licence" section of the Service. Sales and payment collection are handled by Paddle.com Market Limited ("Paddle"), acting as authorised reseller (merchant of record): for the payment the Customer buys from Paddle, which issues the invoice and applies the taxes due in the Customer's country, under its own buyer terms published on paddle.com. Use of the Service remains governed by these terms. ComputerLab may also activate a licence under a direct agreement with its own invoice, on terms agreed in writing.

5.4. Term and automatic renewal. The contract lasts 12 months from the first payment and on expiry renews automatically for successive 12-month periods unless cancelled (Article 5.5). The Customer chooses whether to pay each contract year in a single payment or in 12 monthly instalments: the payment frequency does not change the term of the contract, and with monthly payment all instalments of the current contract year remain due.

5.5. Cancellation. The Customer may cancel the contract from the "Licence" section of the Service or in writing to support. The cancellation takes effect at the end of the current contract year if it is received at least 90 days before the renewal date shown in the Service; if it is received later, the contract renews for another year and the cancellation takes effect at the end of that year. Until the effective date the Service works as usual and payments remain due; afterwards the Service switches to read-only mode (Article 6). The cancellation may be withdrawn until its effective date. A cancellation made in any other way, for example from Paddle's customer portal or messages, does not bring forward the end of the contract: the instalments up to the end of the contract year remain due.

5.6. Changes of Plan and payment frequency. The Customer may change Plan or modules from the "Licence" section. An upgrade takes effect immediately and is paid only for the remaining part of the current payment period (adjustment calculated by Paddle); the contract end date does not change. A downgrade and a change of payment frequency take effect from the next annual renewal and give no right to refunds.

5.7. Limits. When a Plan limit is reached (active technicians, clients, file storage), the Service only prevents adding new items of that type; existing data remains available.

6. Suspension and read-only mode

6.1. The Service switches to read-only mode when the trial has expired, when the contract has ended, when a payment remains unsuccessful for more than 7 days (Article 7.2), when the Customer has requested the deletion of its data (Article 13.3) and when ComputerLab suspends the company for non-payment, for a serious breach of these terms or by order of an authority.

6.2. In read-only mode the Customer and its users can view and download the history (reports, documents, jobs), including for checks and inspections, but cannot enter or change data. Read-only mode ends upon payment, renewal or removal of the cause of the suspension.

6.3. If the Service is used in a way that endangers its security or that of other customers, ComputerLab may suspend access even without notice, for as long as strictly necessary, informing the Customer.

7. Prices, payment and refunds

7.1. Prices are those of the price list published on the website and in the Service at the time of purchase, excluding taxes, which Paddle adds at payment where due. ComputerLab may change the price list: new prices apply to new purchases and, for contracts in progress, only from the next annual renewal and with at least 30 days' notice.

7.2. Payments are made in advance: the annual amount at the start of each contract year, or each instalment at the start of each month. Paddle automatically charges the payment method chosen by the Customer and sends it the invoice; the Customer can update the payment method from the "Licence" section. If a charge fails, Paddle retries it over the following days; after 7 days without payment the Service switches to read-only mode until payment. For licences under a direct agreement, ComputerLab's invoice and the payment terms stated in it apply.

7.3. Refunds. Except where mandatory law provides otherwise, amounts paid are non-refundable, including in the event of cancellation, a Plan downgrade or non-use of the Service: the 45-day free trial exists precisely to evaluate it before buying. For a duplicate or incorrect charge the Customer writes to support within 30 days of the charge; ComputerLab may also grant a refund in other special cases, at its discretion. Refunds are made by Paddle to the same payment method.

8. Customer obligations

The Customer undertakes to:

9. Customer Data and data protection

9.1. Customer Data belongs to the Customer. ComputerLab processes it only to provide the Service, as data processor under the Data Processing Agreement (DPA), which forms part of these terms.

9.2. Account, billing and communication data concerning the Customer are processed by ComputerLab as controller, in accordance with the Privacy Notice.

9.3. The Customer may at any time request a copy of Customer Data in a structured, commonly used format by writing to support, including before deletion.

10. Intellectual property and licence

PCO Suite is proprietary software of ComputerLab, protected by copyright law. ComputerLab grants the Customer, for the duration of the trial or subscription, a non-exclusive, non-transferable, non-sublicensable licence to use it, limited to its users and its business. No rights in ComputerLab's software, trademarks or content are transferred to the Customer. The software includes third-party components distributed under their respective licences, listed in the Service under "Third-party licences".

11. Warranties and limitation of liability

11.1. ComputerLab provides the Service with the required professional diligence and undertakes to correct reported defects within a reasonable time. Except where mandatory rules provide otherwise, the Service is provided "as is": ComputerLab does not warrant that it is error-free or always available, or that it is fit for particular purposes of the Customer not described in these terms.

11.2. To the extent permitted by law, ComputerLab is not liable for indirect or consequential damages, such as loss of profit, loss of business or customers, penalties due to documents not checked by the Customer, or interruptions caused by third-party networks, devices or services.

11.3. In any event, ComputerLab's total liability for any cause relating to the Service is limited to the amount of fees paid by the Customer in the 12 months preceding the event giving rise to it (and, during the free trial, to zero, save for what cannot be excluded by law).

11.4. The limitations in this Article do not apply to damages caused by ComputerLab's wilful misconduct or gross negligence or in other cases where the law does not allow them.

12. Support and availability

12.1. Support is provided by email and WhatsApp at the contacts shown in the Service and on the website, on Italian business days. ComputerLab replies as soon as possible but does not guarantee response or resolution times.

12.2. The Cloud Service is hosted with professional providers and ComputerLab undertakes to keep it continuously available, except for maintenance (announced where possible) and events beyond its control. Because the Service works offline, a Cloud outage does not prevent work on devices that are already set up.

13. Term, termination and deletion

13.1. The contract lasts for the trial and then for the contract years under Article 5.4, until cancelled. When it ends, the Service remains in read-only mode (Article 6) so that the Customer can view its history.

13.2. The Customer may stop using the Service at any time, but the contract ends only with cancellation (Article 5.5): payments up to the end of the contract remain due and are not refunded (Article 7.3).

13.3. Data deletion. The Customer may request from within the Service (Settings → "Delete the company and all its data") the deletion of the company and of all Customer Data. Deletion takes place 30 days after the request, during which the Customer can cancel it and the data remains read-only. After that period, ComputerLab permanently deletes the company's accounts, data and files from the Cloud; backups are overwritten within the following 7 days. Invoices issued and the related data, the log of acceptances of these documents and the log of licence changes are retained to meet legal obligations. Data already downloaded to a device is removed by uninstalling the app. A deletion request does not bring forward the end of the contract or cancel payments due; when the deletion takes place, the Paddle subscription is closed.

13.4. If the licence remains expired for more than 24 months, ComputerLab may start deleting Customer Data with at least 30 days' notice to the administrator's email.

13.5. ComputerLab may terminate the contract by written notice in case of non-payment continuing for more than 30 days after the invoice due date or of a serious breach of Articles 8 or 10, without prejudice to read-only access to the history.

14. Changes to the terms

ComputerLab may change these terms, the Privacy Notice and the DPA to comply with the law, to reflect new functions or changed needs of the Service. New versions are published on the website with their effective date; for changes affecting the Customer's rights or obligations, the Service asks the Office administrator to accept them again before continuing. If the Customer does not accept them, it may stop using the Service and request deletion of its data (Article 13.3); the period already paid remains valid on the previous terms until expiry, except for changes required by law.

15. Notices

Notices to ComputerLab are sent to the support contacts shown in the Service and on the website; notices to the Customer are sent to the Office administrator's email or within the Service. The Customer keeps the administrator's email up to date.

16. Governing law and jurisdiction

These terms are governed by Italian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts of Lanciano (Italy) have exclusive jurisdiction over any dispute relating to the Service, unless the law provides otherwise on a mandatory basis.

17. Final provisions

17.1. These terms, the DPA and the price list in force constitute the entire agreement between the parties on the Service and supersede any prior understanding.

17.2. If any clause is invalid or unenforceable, the others remain valid; the clause is replaced by the valid one closest to its original purpose.

17.3. These terms are drawn up in Italian and translated into other languages for convenience: in case of discrepancies the Italian version prevails.

17.4. Under Articles 1341 and 1342 of the Italian Civil Code, the Customer specifically approves Articles 5 (trial, term, automatic renewal and cancellation), 6 (suspension and read-only mode), 11 (limitation of liability), 13 (termination and deletion), 14 (changes) and 16 (governing law and jurisdiction), by ticking the dedicated box at registration or at re-acceptance.
